1. Introduction & Acceptance of Terms

Welcome to SEO Help for Gyms by UNSTOPPABLE Training ("Company," "we," "us," "SEO Help for Gyms", or "our"). By accessing or using our website (seohelpforgyms.com), client portals, digital products, site audit reports, content templates, marketing consulting, web design, or purchasing any SEO, copywriting, or web infrastructure retainer service, you ("Client," "user," "you," or "your") agree to be bound by these Terms & Conditions. Please read them carefully. If you do not agree with any part of these terms, you must not access or use our website or services.

2. STRICT NO-GUARANTEE & ALGORITHM DISCLAIMER

SEO HELP FOR GYMS IS A DIGITAL MARKETING, SEARCH ENGINE OPTIMIZATION, AND WEBSITE STRATEGY PROVIDER. WE ARE NOT GOOGLE, ALPHABET INC., META, OR ANY OTHER THIRD-PARTY SEARCH ENGINE OR DIRECTORY.

No Ranking or Traffic Guarantees: Search engine optimization (SEO), local map pack rankings, and digital visibility depend entirely on third-party algorithms (including Google, Bing, and Apple Maps) that shift continually. We do not promise, guarantee, or warrant specific organic search rankings, Google Business Profile (GBP) Local Pack positions, website traffic numbers, lead volumes, phone calls, or fitness membership sign-ups.

Third-Party Algorithm Volatility: Search engines frequently update indexing, ranking, and local map algorithms. We are not responsible for fluctuations, index drops, profile suspensions, or traffic losses caused by core algorithm updates, third-party platform policy changes, or penalty actions applied to your digital assets.

Case Studies & Examples: Testimonials, rank screenshots, case studies, or revenue examples displayed on our website or marketing channels represent past results for specific clients and do not constitute a guarantee that you or any other gym owner will achieve identical outcomes.

3. CLIENT RESPONSIBILITIES & ASSET ACCESS

To deliver our SEO, web design, and content services effectively, you agree to fulfill the following operational responsibilities:

Timely Access: You agree to grant us prompt administrator or manager access to necessary third-party tools (including Google Business Profile, Google Search Console, Google Analytics, domain registrars, hosting accounts, and GoHighLevel or CRM platforms) upon request. Delays in providing access do not alter or extend billing cycles.

Truthful Information: You are solely responsible for ensuring that all business information (Name, Address, Phone Number, business hours, and service descriptions) provided to us for local citation and directory building is accurate, up-to-date, and compliant with local laws.

Third-Party Account Compliance: You remain solely liable for maintaining active, paid accounts with your domain registrars, hosting providers, CRM platforms, and phone carrier services (e.g., A2P 10DLC compliance).

4. SERVICES, RETAINERS & SCOPE OF WORK

Scope Formation: Services, monthly SEO retainers, content deliverables, website builds, and audit products are defined and established through formal online checkout, written proposals, or statement of work (SOW) agreements.

Scope Boundaries: Deliverables are strictly limited to the agreed-upon package or retainer tier. Any additional requests (e.g., major web redesigns outside an audit scope, custom software integration, or additional monthly blog articles) will require a separate quote or retainer upgrade.

5. FEES, BILLING & STRICT NO-REFUND POLICY

Service & Retainer Fees: Fees for monthly SEO management, web design, content creation, and digital audit products are billed as specified during checkout or onboarding. Monthly retainers are billed automatically in advance every 30 days.

ALL SALES FINAL & STRICTLY NON-REFUNDABLE: Due to the immediate allocation of agency labor, technical research, strategic intellectual property, and content development, all sales are final and all fees paid are strictly non-refundable. This includes setup fees, monthly retainer payments, digital download purchases, and completed site audits.

Late or Failed Payments: Failure to clear recurring invoice payments within three (3) calendar days of the due date constitutes grounds for immediate suspension of all active SEO services, pausing of content publishing, locking of client dashboard access, and temporary withholding of completed digital deliverables.

6. CANCELLATION & TERMINATION POLICY

Monthly Retainer Cancellation: Either party may cancel a recurring monthly service agreement by providing written notice via email at least fourteen (14) days prior to the next scheduled billing date.

Effect of Cancellation: Upon cancellation notice, services will continue through the end of the current paid billing cycle. No partial or prorated refunds will be issued for unused days in a billing period. Upon contract termination, all active optimization work ceases, and client access to proprietary agency portals will be revoked.

7. INTELLECTUAL PROPERTY & DIGITAL ASSETS

Agency Intellectual Property: All frameworks, internal SOPs, prompt chains, site audit templates, custom code snippets, and training materials made available on seohelpforgyms.com remain the exclusive intellectual property of the Company.

Client Content Ownership: Upon full payment of all applicable fees, you retain ownership of the final written copy, custom website pages, and published blog articles created specifically for your gym's website.

Limited Digital License: Digital downloads, audit reports, and content template packs purchased through our site grant you a single-user, non-transferable, non-sublicensable license for your internal gym business use only. You may not resell, redistribute, share, or publish our proprietary templates or audit sheets to third parties.

8. THIRD-PARTY SERVICES & TECHNOLOGY

We utilize third-party platforms, hosting services, and software tools (including GoHighLevel, Google Analytics, Ahrefs, Stripe, and WordPress). SEO Help for Gyms is not liable for technical glitches, server downtime, domain propagation delays, API disruptions, or data loss caused by these third-party platforms or your web hosting providers.

9. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SEO HELP FOR GYMS, ITS FOUNDERS, OFFICERS, EMPLOYEES, CONTRACTORS, OR AGENTS BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR RELIANCE DAMAGES—INCLUDING LOST GYM MEMBERSHIPS, REVENUE LOSS, RANKING DROPS, BUSINESS INTERRUPTION, LOSS OF DATA, OR REPUTATIONAL HARM—ARISING OUT OF OR RELATING TO YOUR USE OF OUR WEBSITE, DIGITAL PRODUCTS, CONTENT CREATION, OR SEO SERVICES, REGARDLESS OF THE THEORY OF LIABILITY.

10. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless SEO Help for Gyms, its owners, officers, employees, and agents from and against any liabilities, claims, lawsuits, damages, losses, and legal fees (including attorneys' fees) arising out of or related to:

Your breach of these Terms & Conditions;

Copyright or trademark infringement claims arising from images, logos, or text provided by you for insertion into your website or content; or

Your failure to maintain active registration, licensing, or legal compliance for your fitness center or gym business.

11. GOVERNING LAW & VENUE

These Terms & Conditions shall be governed by, construed, and enforced in accordance with the laws of the State of Texas, without regard to conflict of law principles. Any legal suit, action, or proceeding arising out of or relating to these Terms or our services must be brought exclusively in the state or federal courts located within Texas. You submit to personal jurisdiction in Texas and waive any objection to venue or jury trial.

12. SEVERABILITY & POLICY UPDATES

If any provision of these Terms is held unlawful, void, or unenforceable, that provision shall be deemed severable and shall not affect the validity of remaining provisions. We reserve the right to modify these Terms at any time. Continued use of our site or services after updates constitutes acceptance.

13. ARTIFICIAL INTELLIGENCE, AUTOMATED SYSTEMS, AND CONTENT DISCLAIMER

13.1 Use of AI Technologies. You acknowledge and agree that SEO Help for Gyms by UNSTOPPABLE Training (“Company,” “we,” “us,” or “our”) utilizes artificial intelligence (AI), machine learning, natural language processing, and automated tools to research, generate, structure, analyze, and deliver certain services, recommendations, website content, software features, and client deliverables.

13.2 Editorial Supervision and Human Oversight. While Company applies human editorial oversight and strategic review to AI-assisted outputs, such outputs are generated in part using predictive algorithmic models. You acknowledge that AI technologies are inherently subject to errors, inaccuracies, hallucinations, and outdated information.

13.3 No Guarantee of Search Engine Performance. Digital search algorithms, third-party platforms (including, but not limited to, Google, OpenAI, Microsoft, and Meta), and search ranking protocols fluctuate constantly without notice. Company makes no representations, warranties, or guarantees—express or implied—that AI-generated strategies, search engine optimization (SEO), answer engine optimization (AEO), generative engine optimization (GEO), or marketing deliverables will result in specific search engine rankings, map pack placement, web traffic, lead generation, or revenue outcomes.

13.4 Client Responsibility and Independent Verification. All marketing insights, content, schema markup, and strategic deliverables provided by Company are for general business operational and marketing purposes only. They do not constitute formal legal, regulatory, compliance, financial, or tax advice. You assume sole responsibility for reviewing, verifying, and approving all AI-assisted materials, content, and campaign structures prior to deployment or commercial reliance within your business.

13.5 Limitation of Liability. To the maximum extent permitted by applicable law, Company shall not be liable for any direct, indirect, incidental, consequential, or punitive damages arising from your use of or reliance upon AI-generated or AI-assisted content, algorithmic search drops, platform penalties, or third-party indexation changes.
